Terms of Service
Last updated: October 23, 2026
These terms apply to your use of the Tracy SQ | Automation Studio website and to the web development, AI automation and support services offered through it. By using this website or engaging the studio, you agree to these terms. If you do not agree, please do not use the site.
1. About the services
Tracy SQ | Automation Studio designs and builds custom web applications, websites, client portals, AI workflows and automated lead systems, and offers optional ongoing support. The descriptions on this website are general. The exact scope of any project, including deliverables, timeline and price, is set out in a written proposal, quote or agreement that you approve before work begins. If that document conflicts with these terms, the written proposal or agreement takes priority for that project.
2. Using this website
You may browse this site and contact me through it for lawful purposes. You agree not to:
- Submit false, misleading or spam content through the contact form.
- Attempt to disrupt, probe, scrape at scale or gain unauthorized access to the site or its systems.
- Use the site in any way that breaks the law or infringes anyone else’s rights.
Sending an inquiry does not create a client relationship or obligate either of us to work together. A project begins only when we both agree in writing.
3. Fees and payment
- Custom development projects require an initial deposit (typically 50%) before work begins, as set out in your project proposal.
- Remaining balances are due upon project completion, prior to final deployment or handoff of the system.
- Any work outside the agreed project scope will be quoted and approved before it begins.
- Invoices are payable in Canadian dollars, and taxes are added where they apply. Late payments may temporarily pause active development or support until accounts are brought up to date.
4. Support, hosting and retainers
Hosting, maintenance and AI service updates can be provided under an optional monthly support retainer. The scope, price and any minimum term of a retainer will be stated in writing. You may cancel a retainer with the notice period stated in your agreement. If no period is stated, thirty (30) days’ written notice applies. If you choose to host and manage the system yourself, support is limited to what we agree in writing.
5. Ownership and intellectual property
- This website. The text, design, graphics and code of this site belong to Tracy SQ | Automation Studio. You may not copy or reuse them without permission.
- Your project. Ownership of custom work delivered to you, and whether you receive the source code, is set out in your written agreement. By default, once the project is fully paid for, you receive the right to use the delivered system for your business.
- Your content. You keep ownership of the content, data, logos and materials you supply, and you give me permission to use them as needed to deliver the work.
- Tools and know-how. I keep ownership of general-purpose code, libraries, templates and methods that I use or develop across projects, and I may reuse them for other clients, without including your confidential information.
- Portfolio. Unless you tell me otherwise in writing, I may describe a completed project in general terms in my portfolio. I will not publish your confidential information or name you without your approval.
6. Your responsibilities
You agree to give accurate information, provide access, content and feedback in a timely way, and make sure you have the right to use anything you supply. Delays in providing these may affect the timeline and price. You are responsible for how you use the finished system, including complying with the laws that apply to your business, such as privacy, consumer protection and tax rules.
7. Third-party services and AI
Projects often rely on third-party services such as hosting platforms, payment processors, email providers, databases and AI services. These services are run by other companies, are subject to their own terms and privacy policies, and may change, have outages or stop being offered. I am not responsible for their performance or availability.
AI-generated output (for example estimates, text or summaries) can contain errors. Review it before relying on it or sending it to your customers. You are responsible for decisions you make based on AI output.
8. Confidentiality and privacy
I will treat non-public business information you share with me as confidential and use it only to provide the services. This does not apply to information that is public, that you have already made public, or that I must disclose by law. How I handle personal information is described in the Privacy Policy.
9. Warranties and disclaimer
I will provide services with reasonable skill and care. Except as stated in a written agreement, this website and the services are provided “as is” and “as available”, and I make no promise that the site or any system will be uninterrupted, error-free or meet every requirement. I do not guarantee specific business results such as sales, leads or search rankings. Nothing in these terms limits any rights you have under applicable law that cannot be excluded.
10. Limitation of liability
To the extent the law allows, I am not liable for indirect, incidental, special or consequential losses, including lost profits, lost revenue, lost data or loss of business opportunity, arising from the use of this website or the services. My total liability for any claim relating to a project is limited to the fees you paid me for that project in the three (3) months before the claim arose, or, for a support retainer, the fees for the previous three (3) months.
11. Ending the relationship
Either of us may end a project by written notice. If a project is cancelled before it is finished, you will pay for the work completed up to that point, plus any non-refundable costs I have already committed on your behalf. Sections that by their nature should continue, such as payment, ownership, confidentiality, disclaimers and liability, will survive.
12. Governing law and disputes
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. We agree to try to resolve any disagreement in good faith first. If we cannot, the courts of British Columbia will have jurisdiction, unless your written agreement says otherwise.
13. Changes to these terms
I may update these terms from time to time. The “Last updated” date at the top shows the latest version. If you are in the middle of a project, the terms in your signed proposal or agreement continue to apply to that project.
